1. Acceptance of these Terms

These Terms of Use (the "Terms") govern your access to and use of the Millentra website and the services offered through it (the "Services"), operated by Millentra ("Millentra," "we," "us"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

2. The Services

Millentra provides an execution platform for complex infrastructure, energy, and strategic industrial projects, including workflow infrastructure, analytics, readiness and bankability assessments, and related documentation outputs. Specific engagements, deliverables, and confidential materials are governed by separate written agreements between you and Millentra; in the event of a conflict, the separate agreement controls.

3. No advice; no offer or solicitation

Millentra is a technology and workflow platform. Its analyses, scores, and outputs are for informational purposes only and do not constitute investment, legal, tax, accounting, or ESG certification advice. Millentra is not a registered broker-dealer, investment adviser, or placement agent; it does not broker securities, hold client funds, or execute regulated transactions. Nothing on this website constitutes an offer, solicitation, or recommendation to buy or sell any security or financial instrument. Content is provided for general information only and should not be relied upon for investment, financing, or transaction decisions; seek professional advice where appropriate. Assessments reflect methodology-based analysis and are not a guarantee of financing outcomes.

4. Eligibility & business use

The Services are intended for business and professional users, such as project sponsors, advisors, and institutional counterparties. You must be at least 18 years old and capable of forming a binding contract to use the Services.

5. Submissions & confidential materials

Information you submit through the Services must be accurate to your knowledge, and you must have the right to share it. Project submissions are treated as business-confidential as described in our Privacy Policy. Sample deliverables and other confidential materials are provided only following contact review and NDA acceptance, are not public documents, and may not be shared, reproduced, or distributed except as the applicable NDA permits. Submitting information does not create an engagement, partnership, or advisory relationship.

6. Intellectual property

The Services and all content on this website (including the Millentra name, the StructurAI™ mark, the Institutional Readiness & Bankability Assessment methodology, text, graphics, and design) are the property of Millentra or its licensors and are protected by intellectual-property laws. You may view and print website content for internal business evaluation; any other reproduction, distribution, or creation of derivative works requires our prior written permission. No license or other right is granted by implication.

7. Acceptable use

You agree not to:

• use the Services unlawfully or in violation of these Terms;
• attempt to gain unauthorized access to the Services, related systems, or other users' information;
• interfere with or disrupt the operation or security of the Services;
• scrape, harvest, or systematically extract content or data, including for training machine-learning models; or
• misrepresent your identity, authority, or affiliation.

8. Third-party content & links

The Services may reference or link to third-party websites or materials. Millentra does not control and is not responsible for third-party content, and a reference or link does not imply endorsement.

9. Disclaimer of warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED AVAILABILITY. YOUR USE OF THE SERVICES IS AT YOUR OWN RISK.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILLENTRA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, AND OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless Millentra and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your submissions, or your violation of these Terms or applicable law.

12. Governing law & disputes

These Terms are governed by the laws of the United States and, where applicable, the law of the U.S. state in which Millentra's operating entity is organized, without regard to conflict-of-laws principles. Disputes arising out of or relating to these Terms or the Services will be brought exclusively in the courts of competent jurisdiction in that state, and each party consents to their jurisdiction.

13. Changes; termination

We may update these Terms or modify, suspend, or discontinue any part of the Services at any time. The effective date above reflects the latest revision, and material changes will be indicated on this page. Continued use after an update constitutes acceptance. Provisions that by their nature should survive, including Sections 5, 6, and 9 through 12, survive termination.
